POSITION

JOB DESCRIPTION

Immediate Past Chairman

The Immediate Past Chairman of the Board serves on the Executive Board of Directors to offer advice and counsel. The Immediate Past Chairman of the Board is that person who most recently served as Chairman of the Board, prior to the installation of the current Chairman of the Board.    

Chairman

The Chairman of the Board presides at all meetings of this Association and shall be a member of the Executive Board of Directors.  He/she is an ex-­officio member of all standing committees and the chief spokesperson of this Association.  The Chairman of the Board has the power to designate such committees, in addition to those set forth below, as he/she deems necessary to protect and further the interest, purposes and objectives of the Association and its members.  Except as otherwise provided below, the Chairman of the Board appoints the members of each committee during his/her term.  Furthermore, except as is here and after provided, members of such committees need not be Executive Board and/or State Regional Board members.

Chairman Elect

 

The Chairman Elect, in the absence or during the disability of the Chairman of the Board, performs all the duties of the Chairman of the Board. He/she performs such other and further duties as may be conferred upon him/her by the Chairman of the Board or by the Executive Board of Directors, of which he/she shall be a member. 

Treasurer

 

The Treasurer of the Executive Board of Directors is an elected volunteer who shall have general supervision over the finances of the Association in the absence of a corporate Treasurer and shall direct changes of importance in accounting methods. Such Treasurer, along with the President and the Chairman of the Board, is authorized to counter-sign checks, when supported by necessary documents for such expenditures as are allowable under reimbursement policies established by the Executive Board of Directors and are within the annual budget of the Association. He/she shall have duplicate keys to any safety deposit box where the Association's securities are kept, and shall be responsible to make quarterly reports to the Executive Board of Directors.   He/she is the chairperson of the Finance Committee. In addition, he/she shall perform such other duties relating to the Association's finances as may be directed by the Board or by the Chairman of the Board. The Treasurer shall keep, or cause to be kept, full and accurate records of all transactions. He/she shall preserve, for audit, all vouchers, invoices and records necessary to support expenditures made on behalf of the Association. He/she shall be responsible to issue quarterly financial reports to the Executive Board of Directors and monthly financial reports to the Chairman of the Board. (some tasks and reports will be assisted by the President)

Secretary

The Secretary of the Executive Board of Directors is an elected volunteer who shall record and submit for review all minutes of meetings of the Executive Board of Directors, and is a member of the Executive Board of Directors

Collision Division Director

The Collision Director is responsible for organizing programs of interest and benefit to those members who are primarily engaged in the business of automobile collision repair.

Mechanical Division Director

 

The Mechanical/Transmission Director is responsible for organizing programs of interest and benefit to those members who are primarily engaged in the business of repair of engines, brakes, mechanical, electrical and related systems of automobiles and to those members who are primarily engaged in the business of automobile transmission repair and related work.

 

TERM OF OFFICE - The Chairman, Chairman Elect and Secretary shall serve for a (1) one-year term with the office of the Treasurer being a two year term. The Chairman of the Board, Chairman Elect and Immediate Past Chairman may continue in office for an additional one year term if approved by a majority vote of the Executive Board at the June meeting.   Excluding ASAM Staff, a director cannot hold the same office for more than two consecutive terms.
